Agreement for Using Agency Commander

1. Eligibility & Accounts

You must be at least 18 years old to use the Services. When registering, you agree to provide accurate information, maintain the confidentiality of your credentials, and promptly update any changes. We may suspend or terminate accounts that violate these Terms.

2. Subscriptions, Fees, and Taxes

• Access to paid features requires a valid subscription or statement of work.
• Fees are billed according to the plan or order you select and are non-refundable unless required by law.
• You authorize us to charge the payment method on file for recurring fees and applicable taxes.
• We may modify pricing with at least thirty (30) days’ notice, which will apply at the next renewal term.

3. Acceptable Use

You agree not to:

• Use the platform for unlawful, infringing, or fraudulent activities.
• Upload malicious code or attempt to circumvent security features.
• Resell, redistribute, or publicly disclose benchmarking data without permission.
• Access the Services for competitive analysis or product development without our written consent.

We reserve the right to audit usage and suspend accounts that threaten the integrity or security of the Services.

4. Customer Content & Integrations

You retain ownership of financial records, metrics, or documents you upload ("Customer Content"). You grant us a limited license to host and process Customer Content solely to provide the Services. By enabling third-party integrations (e.g., QuickBooks, Stripe, Slack) you authorize us to exchange Customer Content with those providers as necessary to complete the requested sync or automation.

5. Intellectual Property

The Services, including underlying software, documentation, logos, and trade secrets, are owned by Agency Commander or our licensors. Except for the limited rights expressly granted in these Terms, no other rights are granted by implication or otherwise.

6. Confidentiality & Security

We implement technical and organizational measures to safeguard Customer Content consistent with industry standards. Each party agrees to protect the other’s confidential information and to use it only for purposes connected to the Services. 7. Term, Renewal, and Termination

• Subscriptions renew automatically unless canceled at least 10 days prior to the renewal date.
• Either party may terminate these Terms for material breach if the breach remains uncured within 30 days after written notice.
• We may suspend or terminate access immediately if required by law or to prevent harm to the platform.
• Upon termination, you remain responsible for unpaid fees, and we will delete or export Customer Content per our retention policies.

8. Disclaimer & Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY. IN NO EVENT WILL OUR TOTAL LIABILITY FOR ANY CLAIM EXCEED THE FEES PAID BY YOU DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, AND WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES.

9. Indemnification

You will defend and indemnify Agency Commander against third-party claims arising from (a) Customer Content; (b) your violation of these Terms; or (c) your use of the Services in violation of law or third-party rights.

10. Governing Law & Venue

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware, unless a separate written agreement requires arbitration.

11. Changes to These Terms

We may update these Terms to reflect product, legal, or regulatory changes. Updated terms become effective upon posting. If modifications materially affect your rights, we will provide advance notice by email or in-product message. Continued use of the Services after the effective date constitutes acceptance.
